Amplify-MR and its partners (including Measure Protocol Ltd, as operators of the MSR-Meant App) respect your privacy and is committed to protecting your Personal Data. This Privacy Notice will explain how we protect your Personal Data and your privacy rights under the law.

1. Introduction

1.1        For the purpose of this Privacy Notice "you" or "your" means an individual who is the subject of Personal Data we process as a controller, including the end users of Measure Protocol App (the “App”). "we" or "us", "our" means Measure Protocol Ltd (“Measure”), with registered office at 16 Great Queen Street, Covent Garden - WC2B 5AH - London, United Kingdom.

1.2       Our end users (the “Users”) are pre-selected, based on demographic data previously provided by them, to participate in surveys or other analyses that have been organized by us, our clients and researchers with whom we have partnered (“Measure Partners”).

1.3        This Privacy Notice together with the MSR AppTerms of Use set forth below (the “Terms”),including documents referred to therein, explains how we process any PersonalData we receive from you. This Privacy Notice also explains how you may limit the use of that Personal Data and the procedures that we have in place to safeguard your privacy.  

1.4        Depending on the research project you participate in:

you may be asked to fill in questionnaires and participate in surveys; or

you may agree to let us collect data automatically from your devices, and it may not be obvious to you when this is happening (“Passive Tracking”). We will collect data from your devices only if you consent to install measurement software on those devices and install that software yourself.

2. Things that we will not do

2.1        At no time will we collect from you: (i)financial data such as bank cards or bank account numbers; (ii) the contents of any communications between you and third parties (emails, texts, WhatsApp or social media posts); or (iii) the contents or any files open on your device.

2.2        We will not use the data we collect from you for direct marketing purposes (i.e. to advertise, or sell third party products to you) and we do not allow Measure Partners or Measure Customers to do so.

3. Important information and who we are

3.1        This Privacy Notice provides information as to how we process your personal data as a controller in accordance with applicable data protection legislation in the EU and the UK, “Applicable Data Protection Legislation”, which means: (i) in the EU, the General Data Protection Regulation ((EU) 2016/679) (“GDPR”) and any other applicable legislation; and (ii) in the UK, the GDPR, until such time it is repealed or ceases to apply in the UK, the Data Protection Act 2018, and any other applicable legislation. 4.1        We keep our Privacy Notice under regular review. Please check back frequently to see any updates or changes to our Privacy Notice. It is important that the Personal Data we hold about you is accurate and current. Please keep us informed if your Personal Data changes during your relationship with us.

5. Third-party links

5.1        The Website may include links to third-party websites and applications. Clicking on those links or enabling those connections may allow those third parties to collect or share data about you.We do not control these third-party websites and are not responsible for their privacy notices or data use policies.

6. The data we collect about you

6.1        Personal Data, or personal information, means data or information that allows the individual associated with that data or information to be identified. It does not include data or information from which the identity of the individual has been removed or cannot be determined(anonymous data).

6.2        You agree to provide us Personal Data , accept our Terms and Conditions and  register an account on our Website or using our App.

6.3        Measure will indicate on our forms those data fields which are required for our services to function using the symbol: “*”. If you do not fill in the required fields specified above, you will not be able to sign up and receive the some services offered by Measure.

6.4        We may collect, use, store and transfer different kinds of Personal Data about you such as:

  • your basic registration data (name, email, location, country, IP address, time zone, date joined / became active, Phone number (if used for account validation) (“RegistrationData”);
  • Record of transactions (IDs and basic transactional information of surveys or other research projects you have taken and when) (“Transactional Data”);
  • Records of gift cards given to you for participating in surveys or other research projects (“Rewards Data”);
  • the survey ratings the survey partners give you based on the quality and completeness of your survey answers or the ratings our partners give you for your participation in other research projects(“Ratings Data”);
  • A list of profile demographic questions answered through the Measure MSR app (“ProfileData”);
  • Records of your consents or opt-ins for compliance and contractual purposes (“Opt-inData”);
  • The survey data you fill in or provide when you participate in a survey run and controlled by us (“Measure Survey Data”), including Facebook IDs, WhatsApp IDs and InstagramIDs provided by you, with your full consent; and
  • If you have:
  • contacted our customer service or compliance departments;
  • Interacted with us on social media; and
  • Provided feedback about our product

(“Customer Support Data”).

  • User Data includes information about how you use our Website and App and your user credentials. In particular, this includes, information we collect about you and your device. Each time you visit our Website or use our App we may automatically collect the following information:
  • App Data: A few IDs for our basic app and account analytics such as Measure Unique ID, Device Tokens and AppsFlyer Identifiers;
  • Unique Application Numbers: When you install or uninstall our App containing a unique application number or when our App searches for automatic updates, that number and information about your installation, for example, the type of operating system, may be sent to us;
  • Device Data: including the type of device you use, a unique device identifier, your mobile operating system, and time zone setting;
  • Content Data: stored on your mobile device, including contact information, login information (your e-mail address, forename and surname), photos, videos or other digital content.
  • LogData: such as the details of your use of our App or your visits to our Website including, but not limited to traffic data, weblogs and other communication data, whether this is required for our own billing purposes or otherwise;
  • Passive Data: Passive Tracking, upon your consent, allows the collection of data from and metering of your devices, including the time spent using the device, internet browsing habits, online activities, app and feature usage, and system information (“Passive Data”).
  • We use different methods to collect data from and about you. We have set out below further detail on exactly how data is collected from you when using the Application.
  • The Application collects ‘clickstream data’ and may also prompt you to provide diary/survey responses that will be collected and/or provide screen capture images or video of specific phone screens. Clickstream data is information generated by you and your device while using apps, surfing theInternet, and interacting with various sites, services and device functions.
  • The service will either install the “Meter” (a piece of software on your device to collect the data described above) and/or will establish the“VPN” (a profile on your device to direct all internet data generated by and for your device through RealityMine to enable Us to collect the data). Regardless of whether data is collected via the Meter or the VPN, we will only use the data as described in this Policy.
  • The Passive Data that will be collected will vary depending on what research study you join and what consent you provide.  You will be informed of what Passive Data will be collected once that is determined.  Such Passive Data typically may include:
  • Online browsing: This includes the sites Users visit and apps they use, including news sites/apps or social networks, and their interactions with them.
  • Online activities: This includes the search terms Users enter and the results of such searches, the videos Users view, the products users shop for online, information Users enter into forms, the materials Users download or upload, the advertisements Users see, cookies on websites Users visit, information and content on sites or apps that Users visit or Use and with which Users interact and may include personal, financial and health information (subject to the process described below in the section entitled “Protecting Personal & Sensitive Information”).
  • System information: This includes information about the device and browser that Users are running on, how the MSR app is operating, and which other applications are installed or running.
  • Mobile Usage Information: which refers to information about a User’s use of their mobile. This can include the following types of information:
  • Information about User’s internet browsing habits: how much time they spend browsing the internet on their mobile device or computer, the sites they visit or apps they use, and the terms of any search they carry out.
  • Information about user’s usage of other apps and features: (such as the camera, though we do not collect any photos) on User’s mobile device, including the identity of the apps and features, when they downloaded them, how often they use them and for how long.
  • Information about the type of mobile device you use: the make and model, when and for how long you charge it, its battery status, whether it is switched on, off or in a stand-by or ‘Airplane’ mode.
  • Information about which mobile network you use, which wi-fi networks they connect to, and at what times.
  • Information about the volume of data: how much data are downloaded to your mobile device, the times that the data are download, and the method of connection used (wi-fi or mobile network).
  • Information we can deduce from combining the above information: e.g., what apps you were using just before searching for particular information using your mobile device’s internet browser, or how often you call, email or text a particular contact.
  • Operating system capabilities: to view to contents of user’s applications such as Accessibility services.
  • Retro Data: Retro is a service whereUsers are rewarded for submitting to us screenshots, videos, exported files, etc., showing for instance, their recent purchasing history on a website or app, or their recently watched videos on a specific platform or similar usage data (“Retro Data”).
  • The Demo Data may contain limited datapoints of Special categories of particularly sensitive personal information, such as information about your health, racial or ethnic origin, sexual orientation. We need to have further justification for collecting, storing and using this type of personal information. We have in place an appropriate policy document and safeguards which we are required by law to maintain when processing such data. We may process special categories of personal information in limited circumstances and with your explicit written consent.

7. How we use your personal data

7.1        We will only use your Personal Data when the law allows us to. Most commonly, we will use your Personal Data in the following circumstances:

  • With your consent;
  • Where we need to perform the contract we are about to enter into or have entered into with the company you represent or work for;
  • Where it is necessary for our legitimate interests or those of a third party) and your interests and fundamental rights do not override those interests; or
  • Where we need to comply with a legal obligation.

7.2        We use the demographic data you provide to: (i) generate market research reports in aggregate form, and/or anonymised User level insights (where the data per User would be analysed and use more granularly but the Users cannot be identified); and (ii) pre-select you for surveys and then ask you to participate in them. When you consent to it, we will share your Demo data with Measure Partners and Measure Clients so that they can match you for data job opportunities and they can generate market research reports / insights using your Survey Data and such Profile Data.

7.3        We use the Survey Data you provide (by filling in questionnaires) for the purposes of allowing the applicable Measure Partners and/or Measure Customers analyzing the survey responses to conduct research. We may also use the Survey Data ourselves to generate research reports in aggregate where individual users are anonymized.

7.4        We use the Passive Data we collect from you to:(i) generate research reports in aggregate form, and/or where User level data are anonymized; (ii) pre-select you for surveys and then ask you to participate in these surveys; and (iii) when you consent to it, allow specific Measure Partners and Measure Clients to access your Passive Data to generate market research reports in aggregate form, and/or where User level data are anonymized.

7.5         For Retro, we automatically extract pertinent data from the screenshots, videos, exported files you submit and use it to generate market research reports in aggregate form, and/or anonymised User level.

7.6        We have set out below, in a table format, a description of all the ways we plan to use your Personal Data, and which of the legal bases we rely on to do so. We have also identified what our legitimate interests are where appropriate. Note that we may process your Personal Data for more than one lawful ground depending on the specific purpose.

7.7        Aggregated and/or Anonymised Data

We may share your data in an anonymized or aggregated form where you can’t be identified, by publishing research reports, by providing anonymized User information to Measure Partners, or in other similar contexts.

7.8        Opting Out  

You can ask us or third parties to stop sending you marketing messages at any time by following the opt-out links on any marketing message sent to you or by contacting us at any time. Where you opt out of receiving these marketing messages, this will not apply to Personal Data provided to us because of a product or service purchase, product/service experience or other transactions.

Under the California Consumer Privacy Act (CCPA), verifiable residents of California may request to opt out of the sale of their data as outlined in section 12.3 of this policy.

7.9        Change of Purpose  

We will use your Personal Data only for the purposes for which we collected it, or for a compatible purpose that we will supply on request.

7.10        Cookies

We use cookies to distinguish you from other users of the App, or Website. This helps us to provide you with a good experience when you use the App or browse our Website and also allows us to improve the App and our Website. For detailed information on the cookies, the way we use them and the purposes for which we use them, see our cookie policy.

8. Disclosures of your personal data

8.1        We may share your Personal Data with the parties set out below, for the purposes set out in the “Purposes for which we will use your Personal Data” table above:

  • Measure Partners and Measure Customers connected to the data jobs you agree to participate in;
  • Service providers and cloud storage providers who provide us with IT and system administration services or any other services we require to operate our business such as data mining / metering services, data analysis, processing of rewards or incentives, or for market research product development purposes;
  • Professional advisers including lawyers, bankers, auditors and insurers
  • HM Revenue & Customs (United Kingdom), regulators and other authorities
  • Our successors in title, our prospective sellers or buyers of our business or to our affiliates when we have a merger or re-organisation business or assets.
  • We may check some of the information that you provide against third party databases to confirm that it is accurate, for example: (i) validating the Users’ post code is accurate; (ii) validating Users info against LinkedIn if consent given to do so (and using this to enrich Demo Data); (iii) validating Users info against Facebook if consent given to do so (and using this to enrich Demo Data).

8.2        We require all third parties to respect the security of your Personal Data and to treat it in accordance with the law. We do not allow our third-party service providers to use your Personal Data for their own purposes, and only permit them to process your Personal Data for specified purposes and in accordance with our instructions.

9. International transfers

9.1        Measure serves customers globally. Accordingly, your Personal Data may be shared with other entities outside of the European Economic Area (“EEA”) or the UK, when this is necessary for the purposes mentioned in this Notice. These countries include the countries in which we have operations. It also includes the countries in which some of our service providers are located.

9.2        To protect your data when these are transferred to countries outside of the EEA or the UK, we have implemented appropriate safeguards. Every transfer of Personal Data is protected by a data processing agreement containing standard contractual clauses approved by the EU or the UK as applicable. 10. Data security

10.1        We have put in place appropriate security measures to prevent your Personal Data from being accidentally lost, used or accessed in an unauthorised way, altered or disclosed. In addition, we limit access to your Personal Data to those employees, agents, contractors and other third parties who have a business need to know. They will only process your Personal Data on our instructions, and they are subject to a duty of confidentiality. We have put in place procedures to deal with any suspected Personal Data breach and will notify you and any applicable regulator if we are required to do so.

11. How long will we use your personal data for?

11.1        We will retain your Personal Data only for as long as reasonably necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, regulatory, tax, accounting, or reporting requirements.

11.2        To determine the appropriate retention period for Personal Data, we consider the amount, nature and sensitivity of the Personal Data, the potential risk of harm from unauthorised use or disclosure of your Personal Data, the purposes for which we process your Personal Data and whether we can achieve those purposes through other means, and the applicable legal, regulatory, tax, accounting or other requirements.

12. Your legal rights

12.1        You may cancel your participation in surveys or other data jobs, such as Passive Tracking by deinstalling the software or our App or by contacting us. If you do so, please note that we will continue to process the data we collected before your cancellation.

12.2        Under certain circumstances, you have rights under data protection laws in relation to your Personal Data. If you wish to exercise any of your legal rights, please contact us using the contact details set out in this Privacy Notice.

12.3        You have the right to:

  • Request access to your Personal Data. This enables you to receive a copy of the Personal Data we hold about you and to check that we are lawfully processing it.
  • Request correction of the Personal Data that we hold about you. This enables you to have any incomplete or inaccurate data we hold about you corrected, though we may need to verify the accuracy of the new data you provide to us.
  • Request erasure of your Personal Data. This enables you to ask us to delete or remove Personal Data where there is no good reason for us continuing to process it. Note, however, that we may not always be able to comply with your request of erasure for specific legal reasons which will be notified to you, if applicable, at the time of your request.

    You can delete your account directly from the MSR app by going to settings >> Delete Account. This will ensure all your data within the app is deleted, it will register an account deletion with us, and you will be unsubscribed from any emails or communications. This cannot be reversed. You can also submit an account and data deletion request to us at support@measureprotocol.com. Please note it can take up to 72 hours for data to be deleted from our systems.
  • Object to processing of your Personal Data where we are relying on a legitimate interest (or those of a third party) and there is something about your situation which makes you want to object to processing on this ground as you feel it impacts on your fundamental rights and freedoms. In some cases, we may demonstrate that we have compelling legitimate grounds to process your information that override your rights and freedoms..
  • Request restriction of processing of your Personal Data. This enables you to ask us to suspend the processing of your Personal Data in the following scenarios: (a) If you want us to establish the data’s accuracy; (b) Where our use of the data is unlawful but you do not want us to erase it; (c) Where you need us to hold the data even if we no longer require it as you need it to establish, exercise or defend legal claims; and (d) You have objected to our use of your data but we need to verify whether we have overriding legitimate grounds to use it.
  • Request the transfer of your Personal Data to you or to a third party. We will provide to you, or a third party you have chosen, your Personal Data in a structured, commonly used, machine-readable format. Note that this right only applies to automated information which you initially provided consent for us to use or where we used the information to perform a contract with you.
  • Withdraw consent at any time where we are relying on consent to process your Personal Data. However, this will not affect the lawfulness of any processing carried out before you withdraw your consent. If you withdraw your consent, we may not be able to provide certain products or services to you. We will advise you if this is the case at the time you withdraw your consent.
  • Opt out of the sale of your personal data. Where applicable, California residents have the right to opt out of the sale of their personal data under the CCPA (California Consumer Privacy Act) as long as you are a verifiable resident of the State of California. You can submit a verifiable consumer request at https://www.measureprotocol.com/donotsellmypersonalinformation
  • Right to Non-Discrimination for the Exercise of a Consumer's Privacy Rights. You have the right not to receive unlawful discriminatory treatment for the exercise of your privacy rights under the CCPA (California Consumer Privacy Act) as long as you are a verifiable resident of the State of California.

12.4        Categories of Personal Information to be Collected and May Have Been Sold or Disclosed  

Measure collects personal information from research participants utilizing the Measure MSR app during and after registration with the service, including, without limitation, during participation in surveys or other data collection tasks in connection with the receipt and redemption of rewards and incentives during the process. These tasks may be for Measure’s own purposes or in conjunction with partners.

Measures are taken to minimize, de-identify, anonymise and aggregate data where possible to protect users data and privacy as pursuant to this policy. Categories of personal information we may collect are outlined in section 6. The Data we Collect about you in this policy and for the purposes outlined in section 7.


12.5        No Fee Usually Required  

You will not have to pay a fee to access your Personal Data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request is clearly unfounded, repetitive or excessive. Alternatively, we could refuse to comply with your request in these circumstances. We will notify you if this is the case at the time

12.6        Time Limit to Respond  

We try to respond to all legitimate requests within one month. Occasionally it could take us longer than a month if your request is particularly complex or you have made several requests. In this case, we will notify you and keep you updated.

12.7        Exceptions

It may not be possible for us to delete your Personal Data if we are required to keep it by law or if we hold it in connection with a contract with you. Similarly, access to your Personal Data may be refused if making the information available would reveal Personal Data about another person or if we are legally prevented from such disclosure.  

13. Accessibility of Privacy Notice

13.1        Measure is committed to providing a site and Privacy Policy that is accessible to the widest possible audience regardless of technology or ability. If you experience difficulty in accessing any part of this website or this Privacy Policy, please email us at privacy@measureprotocol.com and we will work with you to provide the information, item, or transaction you seek through an alternate communication method or that is accessible for you consistent with applicable law.

This explains the terms and conditions for the use of Our Services. Our Services are detailed in Section 4 below and explained further in the MSR-meant App and on our Website. The FAQ sections within the App aim to help you understand ourServices.  You must comply with theseTerms and Conditions when you use our Services.

1.3.       How we may contact you. If we have to contact you we will do so by writing to you at the email address, mobile number, or postal address you provided at the point of account registration. In this context, 'Writing' includes the emails, SMS or MSR-meant App notification we send you.

2. THESE TERMS

 2.1.      What these terms cover. These are the terms and conditions that apply to our provision of Services to you through the MSR-meant App, your user Account, our Website, and by any other means we may specify to you.

2.2.       Why you should read them. Please read these Terms and our Privacy Notice carefully and make sure that you understand them before creating an Account and using our Services.  Before creating anAccount, you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to create an Account, access our MSR-meantApp, or use our Services.

2.3.       Why you should print a copy. You should print a copy of these Terms or save them to your computer for future reference.

2.4.       We may amend these Terms. We amend these Terms from time to time as set out in Section 13. Before using our Services, please check the most currentTerms that apply at that time.

2.5.       OurServices (as defined specified in more detail in Section 4 below). OurServices allow you to share your personal information with us, and with brands and market researchers, to earn incentives and rewards.  You will earn these incentives and rewards when you agree to allow passive usage Data Metering in your devices, and will earn additional incentives and rewards when you complete short surveys to provide feedback on products, services, and interesting topics.

3. YOUR ACCOUNT 

3.1.      This Section sets forth the terms and conditions that apply to your access and use of your Account.

3.2.       Age limit. You must be eighteen (18) years to access our Services and create an Account.

3.3.       You are only permitted to have one Account with us at any time. If we become aware that you have opened more than one Account, we reserve the right to close any of them and terminate our agreement with you.

3.4.       YourAccount information. When registering your Account with us, you are required to provide us with certain registration information such as your first name, last name, and email address (“RegistrationData”), and certain demographic data such as your country of residence,ZIP/postal code, date of birth, gender, employment status, education level, and household income level (the “ProfileData”). You agree to always act in good faith and provide only accurate, current and complete Registration Data and Profile Data and to keep that information updated in order to maintain its accuracy. You are entitled to perform various administrative tasks though your Account such as updating yourRegistration Data, your Profile Data, requesting Rewards, recovering your forgotten password.

3.5.       YourLog-In Information. You are required to select a password. You will need to use your email address plus a password to access your Account (your “Log-in Information”).

3.6       YourUser ID. Our Services use blockchain technology. When you register with us, we will create for you a pseudonymous user ID that will be visible on a blockchain along with basic data such as the Data Tasks you engage in and when (“Transactional Data”). Third parties will be able to see the Transactional Data on the blockchain, but they will not be able to identify you from such data.

3.7.       Changes to/confidentiality of Log-In Information. You may change your password in the ‘account' section of your Account at any time. You are responsible for maintaining the confidentiality of the Log-In Information, and you will be responsible for all uses of the Log-In Information whether or not authorized by you. 

3.8.       Security breach. In the event you become aware of or reasonably suspect any breach of security, including without limitation any loss, theft, or unauthorized disclosure or use of the Log-In Information, you must immediately notify us. We reserve the right to invalidate your password and/or to change the password linked to your Account without notice if we have reason to believe you are in breach of this Section 3.7 or your Account has been compromised.

3.9.       Our rights in relation to your Account. If you do not comply with ourTerms, we shall be entitled to terminate or suspend your Account and to forfeit any MSR Points or other incentives we provide to you at our sole discretion and without any liability to you (for instance, if you been involved in any illegal or fraudulent activity).

4. OUR SERVICES 

4.1.      Our Services allow you to: (i) access the MSR-meantApp and your Account; (ii) update, supplement, or delete your Registration Data and your Profile Data; (iii) claim your Rewards and perform other administrative tasks; (iv) receive offers for, and participate in, Data Tasks offered to you; and (v) receive reasonable customer support from us.  

 4.2      Your Acceptance. We and Measure Customers will use the Profile Data, and other data you agree to provide to us, to pre-select you for Data Tasks organized by us or by our customers (in line with the specific requirements of the Data Task – e.g.demographic requirements).

4.3.       DataTask invitations. We will then offer you to:

4.3.1.    Participate in surveys organized by us or byMeasure Customers such as providing feedback on interesting topics (“Surveys”); or

4.3.2     Participate in various Data Tasks such as providing your time spent on various activities on your device and in new types of Data Tasks as they become available; or

4.3.3.    Respond to requests to share your ProfileData; or

4.3.4.    Submit parts of your Profile Data in anonymized/encrypted ways to a centralized service that functions as a census(e.g., to determine the percent of the user population that is female); or

 4.3.5.   Share passively collected behavioral data, collected during a certain time period (“DataMetering”); and

4.3.6     Other similar data tasks where you are asked to share your information with us or Measure Customers.

(together the “Data Tasks”).

4.4       Your acceptance. We will explain to you in advance the personal data you are invited to share with each Data Task and the purposes for which such data will be used, which will Typically be for research purposes. Your participation inData Tasks is subject to your consent and is completely voluntary. Measure does not guarantee that you will receive a certain minimum volume of invitations to participate in Data Tasks.

4.5.       The ‘my data’ tab. is a functionality available in the MSR-meant App that allows you to manage your data. You may use the ‘my data’ tab to:

4.5.1.    Update your Profile Data;

4.5.2.    Complete additional profile Surveys (listed by category);

4.5.3.    Connect to 3rd party Survey providers by sharing parts of your Profile Data to receive additional Survey offers and additional requests for your data;

4.5.4.    Connect to services such as LinkedIn andFacebook in order to validate and enrich your Profile Data and in so doing strengthen your overall profile; and

4.5.5.    Create the necessary connections in theMSR-meant App in order to be eligible for Data Tasks;

4.6        The ‘wallet’ tab.You may use the ‘wallet’ tab to:

4.6.1.    View history of all Data Tasks invitations you have participated in;

4.6.2.    Monitor your MSR Points balance;

4.6.3.    Redeem your MSR Points, when you’ve reached the minimum required to do so (as specified in the MSR-meant App), against a selection of options; and

4.6.4.    View the history of all MSR Points redeemed.

4.7.       Availability of our Services. The MSR-meant App will be available 24 hours a day, 7days a week, 365 days a year, but please note that we may suspend our services as specified in Section 11 (Suspension).

Our customer support service will be available 4am to 8pm EST (7am to 5pm PST)

5. MEASURE POINTS AND REWARDS 

5.1.       MSRPoints. You may earn MSR Points when you participate in Data Tasks, which will be credited to your Account. The MSR Points are pegged to US Dollars(“MSR Points”).

5.2.       EarningMeasure Points. The number of MSR Points you can earn with each DataTask will be specified to you before the Data Task starts. Please note you need to complete each Data Task in accordance with its requirements to earn the MSRPoints. If you fail to do so, we reserve the right to withhold or forfeit theMSR Points associated with the Data Tasks.

5.3.       RedeemingRewards. MSR Points are redeemable for vouchers, cash via PayPal andVisa, entries into a prize draw, or any other benefit made available to you as specified in more detail in the MSR-meant App (“Reward”). If you have enough points, you may redeem a Reward against any Measure Points credited to you. Please note that you will need to have a minimum number of MSR Points to claim a Reward, as specified in theMSR-meant App. When you are entitled to a Reward, we will make available theReward to you as soon as reasonably possible using the details you provided.

5.4.       YourAccount. We will maintain a record of all the Measure Points credited to you. You will be able to check the status of your Measure Points account by logging into your Account.

5.5.       Expiration of Measure Points. MSR Points will expire after twelve (12) months from the date of your most recent use of our Services.

6. YOUR OBLIGATIONS

6.1.       You must:

6.1.1.    Not breach any of your obligations set out in these Terms; 

6.1.2.    Always participate in any Data Task diligently and in good faith. You must not: (i) provide false answers, random answers, or speed through a Survey without giving due attention to the questions; (ii) answer each question the same way; (iii) illegally or fraudulently submit data by any means other than Measure Services are designed to allow; or (iv) circumvent, or try to circumvent, our Services to obtain MSRPoints or Rewards or other incentives. Measure reserves the right to withhold or forfeit any MSR Points or Rewards you earn if, in our reasonable view, you breach this Section;

6.1.3.    Not use the Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into the Services or any operating system;

6.1.4.    Not infringe our intellectual property rights or those rights of any third party in relation to your use of the Services;

6.1.5.    Not rent, lease, sub-license, loan, provide, or otherwise make available, the Services in any form, in whole or in part to any person without prior written consent from us;

6.1.6.    Not copy the Services or any materials contained in the Services, in the MSR-meant App, our Website or otherwise, nor any documentation thereto and content thereof, except as part of the normal use of the Services;

6.1.7.    Not translate, merge, adapt, vary, alter or modify, the whole or any part of the MSR-meant App, the Services and any documentation thereto, nor permit the MSR-meant App, the Services, and any documentation thereto, or any part of them, to be combined with, or become incorporated in, any other programs, except as necessary to use the Services on devices as permitted in these Terms;

6.1.8.    Not disassemble, de-compile, reverse engineer, or create derivative works based on the whole or any part of theMSR-meant App or the Services, nor attempt to do any such things;

6.1.9.    Not transmit any material that is defamatory, offensive, or otherwise objectionable in relation to your use of the MSR-meantApp or the Services;

6.1.10.  Not use the MSR-meant App or the Services in away that could damage, disable, overburden, impair, or compromise our systems or security or interfere with other users;

6.1.11.  Not use the MSR-meant App or the Services to buy or solicit for goods, services, or money, or to advertise or sell products or services to others. For example, do not post any advertising, referrals, promotional materials, junk mail, 'spam', chain letters, pyramid schemes, or any other form of solicitation;

6.1.12.  Not collect or harvest any information or data from the MSR-meant App, the Services, or our systems, or attempt to decipher any transmissions to or from the servers running the Services;

6.1.13.  Not publish or make reference in any media to any Data Task or MSR-meant App content without our prior written consent other than giving your views or feedback about the Services as a consumer and always in accordance with applicable laws; and

6.1.14.  Not access or use any part of the MSR-meant App or the Services for anything other than your personal, non-commercial use.

6.2.       Your license. Subject to our compliance with data protection legislation, you hereby give a non-exclusive, perpetual, unlimited, worldwide, royalty-free right to Measure to use for any purpose any content you submit to the Services, including the right to edit, copy, transmit, publish, display, modify, distribute, create derivative works from and develop such content and to transfer such content to third parties. You, not Measure, will have sole responsibility and liability for all content you use, upload, post or submit to the Services, including any Data Task in which you participate, including the obligation to obtain any necessary approvals and authorizations required to post such content.

7. CONFIDENTIALITY OF SURVEYS AND OTHER DATA TASKS

7.1.       Confidential and/or proprietary information. We or Measure Customers may disclose confidential and/or proprietary information and materials to you as part of a Data Task, and such information and materials shall remain the sole and exclusive property of its owner. This may include confidential information such as new product ideas or concepts, packaging concepts, advertising and movie or television concepts or trailers, and the text, visual images and sounds related thereto.

7.2.       Your obligation. You must keep confidential the contents and materials disclosed to you as part of all Data Tasks or the Services in which you participate, and not disclose them to any third party or use the confidential information for any purpose except for the sole purpose of completing the Data Tasks. If you breach this obligation, in addition to forfeiture of your MSR Points andRewards and termination of your Account, you may be liable for monetary damages to us and/or our corporate client for damages caused by the result of your breach.

8. HOW WE MAY USE YOUR PERSONAL INFORMATION

We will use your personal information as set out in our Privacy Notice and applicable data protection laws.

 

9. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the Services and any documentation thereto and content thereof throughout the world belong to us (or our licensors) and the rights in theMSR-meant App and the Services and any documentation thereto and content thereof are licensed (not sold) to you for the sole purpose of you using ourServices under these Terms. You have no intellectual property rights in, or to, the MSR-meant App and the Services and any documentation thereto and content thereof other than the right to use them in accordance with these Terms. 

10. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU

10.1.     We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of us breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract between us was made, both we and you knew it might happen, for example, if you discussed it with us during the onboarding.

10.2.     We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the Services supplied with reasonable skill and care.

10.3.     When we are liable for damage to your property. If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge, or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

10.4.     We are not liable for business losses. We supply the Services for only domestic and private use. If you use the Services for any commercial, business, or re-sale purpose we will have no liability to you for any direct or indirect loss of profit, loss of business, loss of contracts, loss or damage to reputation or goodwill, business interruption, loss of business opportunity and any other indirect or consequential damages.

10.5.     Limitations to the Services. The MSR-meant App and the Services are provided for general information and entertainment purposes only. They do not offer personal advice. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from theMSR-meant App, our Website, or the Services. Although we make reasonable efforts to update the information provided by the MSR-meant App and theServices, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.

10.6.     EventsOutside Our Control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by an event outside our control.

11. SUSPENSION 

11.1.     We may, at any time, suspend or withdraw all or parts of the Services by giving notice to you if:

11.1.1.  Necessary for business and operational reasons,

11.1.2.  Necessary for repair, maintenance or improvement of the MSR-meant App and the Services or to protect life, limb or property; and

11.1.3.  Required to comply with any laws, regulations or instructions issued by the government, an emergency service or other competent authority.

11.2.     SuspensionNotice. Except in an emergency when no such notice is required, we will aim to give you as much notice as reasonably practicable if the Services are to be suspended.

11.3.     Liability for Service suspensions. We shall not be liable to you for any suspension of the Services and your use of the MSR-meant App howsoever caused.

12. TERMINATION 

12.1.     Your termination right. You may terminate these Terms at your sole discretion at any time by uninstalling the MSR-meant App or by closing yourAccount in accordance with the step-by-step guide available in our MSR-meantApp. Alternatively you can send us an email at support@measureprotocol.com. 

12.2.     Our termination right. We may, at any time, restrict your access, suspend or terminate your Account, the Services, and these Terms, by sending notice to your email address, by InMail to your Account as indicated in your ‘my data’ tab, or without provision of notice if we have reasons to believe that you are in breach of these Terms, any law, or rights of any third party or if we wish.We may also terminate our contract with you for convenience by giving you notice in writing (as specified in Section 1.3 above). 

12.3.     Consequences of termination. If these Terms are terminated:

13.3.1.  Your license to use the MSR-meant App and theServices terminates automatically;

12.3.2.  You must stop all activities authorized by these Terms, including your use of the Services;

12.3.3.  You will lose all your rights to the MSR Points previously credited to your Account when we terminate these Terms (i.e. our contract with you) because you were not complying with our Terms, or if you do not have enough MSR Points to claim a Reward. However, you may redeem your MSRPoints, for any Reward you are entitled to under the Terms, within 3 months from the termination of these Terms.

12.3.4.  You must delete or remove the MSR-meant App from all devices in your possession and immediately destroy all copies of theMSR-meant App which you have and, on request, confirm to us that you have done this.

12.3.5.  We may remotely access your devices and remove the MSR-meant App from them and cease providing you with access to the Services.

12.4.     Termination of your Account, the Services, and these Terms shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of these Terms that existed at or before the date of termination.

13. OUR RIGHT TO VARYTHESE TERMS

We may amend these Terms from time to time at our sole discretion. We may inform you of any changes in our Terms by sending you an email, an InMail to your Account, by showing a notice about our new Terms in our MSR-meant App, or by other suitable means.  You may then contact us to terminate these Terms before the changes take effect. Please look at the top of this page to see when these Terms were last updated and which Terms were changed.

14. OTHER IMPORTANT TERMS 

14.1.     We may transfer our contract with you under these Terms to someone else. We may transfer our rights and obligations under these terms to another organization. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

14.2.     Nobody else has any rights under these Terms. These Terms are between you and us. No other person shall have any rights to enforce any of its terms.

14.3.     If a court finds part of these Terms illegal, the rest will continue in force. Each of the terms and conditions of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

14.4.     Even if we delay in enforcing these Terms, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

14.5.     Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or theEnglish courts.
